Job Purpose: Provide legal counsel and advice to The Toro Company's business divisions and corporate functions on various contracts and provide legal support as needed on additional commercial matters.

Job Duties & Responsibilities:

  • Review, draft, edit, and negotiate a broad range of commercial contracts, including hardware and software (on premises and SaaS) purchases, implementation, and maintenance; capital equipment purchases and installation; service and consulting agreements; sourcing agreements; logistics and transportation contracts; miscellaneous technology-related agreements and nondisclosure agreements; among others.
  • Advise business units on risks and opportunities relating to various contract provisions and propose creative solutions to work through impasses in contract negotiations.
  • Assist business units with issues of contract interpretation and informal resolution of disputes with vendors.
  • Amend standard forms as necessary to address developments in the law and meet The Toro Company's evolving business needs.
  • Work on special projects as needed.
  • Provide additional assistance as needed to the commercial legal team, including on review of marketing materials.

Job Qualifications:
  • JD degree from ABA accredited law school required
  • Licensed to practice law in Minnesota required
  • At least 2 years of experience in private practice or in-house legal department required. 3+ years preferred.
  • Contract law knowledge
  • Experience with software and technology-related contracts preferred
  • Excellent business judgment and strong negotiation skills
  • Excellent written and verbal communication skills with the ability to communicate effectively at all organizational levels
  • Strong analytical skills and attention to detail
  • Results oriented; takes initiative; proactive
  • Highest ethical standards
  • Works independently and efficiently
  • Ability to handle sensitive information in a confidential manner
