The Corporate Paralegal will work closely with various departments throughout the Company. This is a dynamic position for a self-starter who has the capability to dive into a number of projects while at the same time independently handling day-to-day business matters. The Corporate Paralegal is responsible for all aspects of corporate governance for US and international legal entities. The Corporate Paralegal will have ownership of corporate governance activities for a distinct set of international legal entities, work independently on routine matters and partner closely with external attorneys on complex projects. This position requires communication with business leaders, external attorneys, and other vendors.

Responsibilities include, but not limited to:

• Provide legal support to various departments by drafting correspondence, letters, and memoranda.

• Ability to identify legal issues, conduct research and identify solutions.

• Maintain the state regulatory calendars to assure state regulatory requirements are adhered to.

• Independently prioritize and respond to a wide range of questions from business partners.

• Draft and maintain vendor contracts.

• Utilize contract management software to facilitate tracking of custom provisions and documentation of required approvals, property lease renewals/terminations, etc.

• Assist with settlement agreements, letters of intent, confidentiality agreements and other documents as requested.

• Assists with regulatory governance and compliance issues.

• Familiarity with corporate, LLC and other entity filings and requirements, such as entity formation, amendments to charter documents, verifying entity status, encumbrance searches, obtaining EINs, and foreign qualifications and DBAs.

• Conduct research and draft or review documents to support restructuring transactions, entity formations and merger and dissolution of entities.

• Review and draft board and shareholder resolutions to approve (a) election and resignation of directors and officers; (b), transactional activities; (c) compliance/regulatory policies and (d) additional actions to support operations and meet statutory obligations.

• Provide legal support to M&A origination and transactions including due diligence, disclosures, documentation, and coordination with other legal resources.

• Basic proofreading transactional documents, including verifying tables of contents, definitions and defined terms use, and cross-references.

• Validate and report entity legal structure events and create organizational charts.

• Coordinate notarization and foreign legalization of documents.

• Collaborate with treasury team to provide legal documents required to open international bank accounts and update banking resolutions.

• Manage and support your customer requests from corporate secretarial firms, financial institutions and third-party service providers.

• Navigate international websites, registrars, and regulatory portals to support corporate filings.

Qualifications:

• BS degree or equivalent and paralegal certificate

• 3+ years of experience as a corporate paralegal, or equivalent experience

• Strong research and analytical skills

• Excellent communication skills, both written and oral

• Ability to manage several matters at one time in a very fast-paced environment

• Attention to detail and demonstrate an ability to make sound judgement decisions

• Knowledge and experience dealing with foreign jurisdictions a plus, including background in complex transactions involving foreign entities.

• High degree of maturity and professionalism

• Strong interpersonal skills

• Must be able to work as part of a team

• Ability to work independently
