Director, Strategy and Corporate Development

What can you expect?

  • This position reports to the Head of Marsh McLennan (MMC) Strategy and Corporate Development and supports the successful execution of acquisitions and divestitures for MMC's four operating companies.
  • MMC has a history of successful acquisitions that over time have added significantly to organic growth across the enterprise, often via transformational shifts in portfolio. The position of Director Strategy & Corporate Development is a key contributor to sourcing and execution of significant M&A activity on an annually recurring basis. It provides an opportunity to think and act as a principal and decision maker, and to apply skills acquired in different transaction execution backgrounds towards advancing MMC's strategic M&A in a direct leadership role.
  • Responsibilities include sourcing and evaluation of potential acquisition targets; providing key strategic assessments influencing the direction of transactions in early stages; in-depth financial review and analysis; management of the due diligence process and negotiation of the structure including legal documents which support the transaction.
  • The role involves significant interaction with key MMC leaders across the four businesses and CEO level dialog on strategic M&A. It balances the execution related aspects with extensive external relationship and connectivity in order to source high quality acquisition ideas and convert prospects into live execution opportunity. The Director of Strategy & Corporate Development can expect meaningful interactions with investment bankers, private equity investors, industry executives and entrepreneurs to fulfil aspects of this role.
  • This position also works junior corporate development colleagues, guiding all phases of transaction execution and mentoring such colleagues.

In this role you will be responsible for:
  • Independently source and originate high quality M&A opportunity across MMC's businesses.
  • Interact with business leadership to evaluate fit and strategic rationale for pursuing specific ideas.
  • Provide key judgements after evaluation of materials gained and created during due diligence process.
  • Provide general assessment of strategic opportunities available to the Company and makes recommendations for potential targets.
  • Independently lead complex financial modelling assignments in a corporate finance environment; perform financial analysis activities; provide financial reporting and various metrics projects for potential acquisition.
  • Manage due diligence processes and communications with external advisors
  • Collaborate with functional leaders in finance, legal, technology, HR and other departments to execute transactions.
  • Collaborate with internal and external legal advisors to identify risks and ensure adequate protection in purchase agreements. Collaborates with legal professionals to structure transactions. Monitor success of integration, operations and financial performance post-closing.
  • Develop and prepare presentations for use by senior management. Actively participate in all leadership discussions relating to merits and considerations of active transactions.

We would like you to have:
  • BS or MBA in Finance
  • 6-10 years' experience in Corporate Development, M&A Investment Banking or Private Equity
  • Demonstrated strong financial modelling background and analytical orientation
  • Experience leading transaction execution and guiding cross functional teams and junior colleagues
  • Knowledge of corporate finance, tax, accounting and M&A transaction structuring
  • Demonstrated superior understanding of Excel
  • Relationships in insurance distribution, underwriting, benefits consulting and advisory industries
  • Ability to work in teams and interaction with senior management
  • Ability to communicate effectively
